The Avon and Gloucestershire Railway Company was incorporated under the Avon and Gloucestershire Railway Company Act of 1828. The cost and expenses for this Act were paid by Kennet & Avon Canal Navigation Company and the latter company were virtually owners of Avon & Gloucestershire Railway Company. The company was established to construct a railway from Roding Hill to the Avon, with branch lines.

The company passed, with Kennet & Avon Canal Navigation Company, into the ownership of Great Western Railway Company, by transfer deed dated 29th July 1852 under the terms of Great Western Railway Act No. 1 dated 30th June 1852
